Terms of Service

1. About Us
These terms govern your use of services provided by Know IT Consulting Ltd, trading as Know I.T. Consulting, registered in England and Wales (company number 5322504). Registered office: 1st Floor, 17 Station Road, Kettering, Northants, NN15 7HH.
By engaging our services, you agree to these terms. If you do not agree, please do not use our services.
2. Our Services
We provide IT support services for small businesses, including but not limited to:
- On-demand remote and on-site IT support and troubleshooting
- Hardware purchasing, setup, and configuration
- Hardware repairs and diagnostics
- Cybersecurity services including antivirus, firewall configuration, and security audits
- Cloud services setup and management (Microsoft 365, Google Workspace, and others)
- Data backup and disaster recovery solutions
- Network setup, maintenance, and troubleshooting
- AI consulting — advising on, selecting, and setting up AI tools (such as ChatGPT, Microsoft Copilot, and Claude) for your business
All services are provided on a pay-as-you-go basis unless otherwise agreed in writing.
3. No Contracts or Lock-In
We do not require long-term contracts. You are free to use our services as and when you need them. There are no minimum commitments, cancellation fees, or lock-in periods. Either party may end the service relationship at any time.
4. Pricing and Payment
- Our services are billed at an hourly rate, which will be confirmed before any work begins
- Hardware and software purchased on your behalf will be invoiced at cost plus any agreed handling fee
- Payment is due upon completion of work or within 14 days of invoice, whichever is sooner
- All prices are quoted in GBP and are exclusive of VAT unless stated otherwise
- Late payments may incur interest at 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
5. Scope of Work and Approvals
Before starting any work, we will agree the scope of the task with you. If additional work is identified during a support session, we will inform you and seek approval before proceeding. We reserve the right to decline work that falls outside our expertise or that we believe poses a risk to your systems.
6. Remote Access
Some services require remote access to your computers, servers, or network. We will always request your explicit permission before establishing a remote connection. You may terminate the remote session at any time. We will only access systems, files, and settings relevant to the task at hand.
7. Hardware Purchasing
When we purchase hardware or software on your behalf, ownership transfers to you upon full payment. We will provide recommendations based on your requirements and budget, but the final purchasing decision is yours. Warranties on purchased hardware are provided by the manufacturer; we will assist with warranty claims where possible but are not the warrantor.
8. Data and Backups
While we offer backup and recovery services, you remain ultimately responsible for maintaining adequate backups of your business data. Where we set up backup solutions, we will advise on best practices and test restores where appropriate. We are not liable for data loss where backups were not in place or where backup solutions were not maintained as recommended.
9. Cybersecurity
We provide cybersecurity services to help protect your business, including antivirus deployment, firewall configuration, and security audits. However, no security measure can guarantee complete protection against all threats. We recommend following our security guidance and promptly applying updates and patches we advise. We are not liable for breaches resulting from threats beyond reasonable prevention, social engineering attacks against your staff, or failure to implement our recommendations.
10. Third-Party Services
Our services may involve configuring or managing third-party platforms (such as Microsoft 365, Google Workspace, antivirus software, or cloud providers). These platforms are governed by their own terms and conditions. We are not liable for outages, changes, or issues caused by third-party service providers. We will assist in resolving such issues where we can.
11. AI Consulting
Our AI consulting service provides advice, recommendations, and setup of third-party AI tools. You acknowledge that:
- AI tools are provided by third parties (such as OpenAI, Microsoft, and Anthropic) and are governed by their own terms and pricing, which are separate from ours
- AI outputs can be inaccurate, incomplete, or biased; you are responsible for reviewing and verifying any output before relying on it for business decisions
- We advise on data privacy and what is safe to share with AI tools, but you remain responsible for the data you choose to input into them
- We make no guarantee as to the productivity gains, cost savings, or business outcomes of adopting any AI tool
We are not liable for losses arising from your use of AI tools, from inaccurate AI outputs, or from changes to third-party AI services beyond our control.
12. Liability
We take reasonable care in providing our services. However, we shall not be liable for:
- Loss of data where adequate backups were not in place
- Downtime or losses caused by third-party software, hardware, or service failures
- Indirect or consequential losses arising from our services
- Losses arising from your failure to implement our recommendations
- Security breaches resulting from threats beyond reasonable prevention
Our total liability in connection with any claim is limited to the fees paid for the specific service that gave rise to the claim. Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
13. Confidentiality
We treat all client data, business information, and system credentials as strictly confidential. We will not disclose your information to third parties except where necessary to deliver our services (e.g. liaising with a vendor on your behalf) or as required by law. Any credentials you share with us for service delivery will be stored securely and used only for the agreed purpose.
14. Intellectual Property
All intellectual property in materials we create for you (e.g. documentation, network diagrams, configuration guides) will transfer to you upon full payment. We retain the right to use general knowledge, techniques, and methodologies gained during our work.
15. Client Responsibilities
To enable us to provide effective support, you agree to:
- Provide accurate information about your systems, issues, and requirements
- Ensure we have the necessary access (physical or remote) to complete the work
- Maintain valid licences for software used in your business
- Inform us promptly of any changes to your systems that may affect our services
- Follow our security recommendations to protect your business
16. Governing Law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
17. Changes to These Terms
We may update these terms from time to time. Any changes will be posted on this page with a revised "last updated" date. Continued use of our services after changes are published constitutes acceptance of the updated terms.
